1. Introduction and Acceptance

Welcome to Vivere ("we," "us," or "our"), a personal insight engine operated by Vivere AI Ltd., a company incorporated in England and Wales (Companies House number 16796554), with its registered address at 89 Garratt Terrace, London SW17 0QE, United Kingdom.

These Terms of Service ("Terms") govern your access to and use of our website at https://www.vivereai.ai and any related services, features, or content we provide (collectively, the "Service").

By accessing or using the Service, creating an account, or clicking to accept these Terms, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Service.

If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms, and "you" refers to that organisation.

2. Eligibility

You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you meet this requirement. If you are under 18, you must not use the Service. We do not knowingly collect data from individuals under 18 years of age. If we become aware that a user is under 18, we will close their account and delete their data promptly.

3. Description of the Service

Vivere provides adaptive behavioural assessments designed to map your cognitive patterns, personality, values, and skills into a personal Digital Fingerprint. This profile is used to generate personalised career, learning, and development pathways, and to provide AI assisted coaching.

The Service is currently in early access ("founding cohort") phase. Features, functionality, and availability may change during this period.

4. Account Registration and Security

To access certain features, you may be required to create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your login credentials confidential and not share them with any third party
• Notify us immediately at hello@vivereai.ai if you suspect any unauthorised use of your account
• Accept responsibility for all activity that occurs under your account

We reserve the right to suspend or terminate accounts that contain inaccurate information or that we reasonably believe have been compromised.

5. Use of the Service

Permitted use. You may use the Service for your own personal, non commercial purposes in accordance with these Terms.

Prohibited conduct. You must not:

• Use the Service in any way that violates applicable local, national, or international law or regulation
• Attempt to gain unauthorised access to any part of the Service, its related systems, or networks
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service
• Scrape, crawl, or use automated tools to extract data from the Service
• Introduce viruses, trojans, worms, or other malicious or harmful code
• Use the Service to harass, abuse, or harm any person
• Impersonate any person or entity or misrepresent your affiliation with any person or entity
• Use the Service for any commercial purpose or for any public display without our prior written consent
• Attempt to circumvent or disable any security or access control features

6. Your Data and Ownership

You own your data. Any data, results, profiles, and Digital Fingerprint outputs generated through your use of the Service ("Your Data") belong to you. We do not claim ownership of Your Data.

Your rights over Your Data. You may at any time:

• Export a copy of Your Data in a portable format
• Share specific elements of Your Data selectively with third parties of your choosing
• Request deletion of Your Data from our systems (see our Privacy Policy for details and timescales)

Licence to operate the Service. By using the Service, you grant us a limited, non exclusive, royalty free licence to process Your Data solely to the extent necessary to provide the Service to you and as described in our Privacy Policy. We do not sell, rent, or trade Your Data to third parties. We do not use Your Data to train general AI models accessible to other users.

7. Behavioural Assessments and Data

The Service involves the collection and processing of sensitive personal data including personality traits, cognitive patterns, values, and behavioural indicators. You acknowledge and consent to this processing as described in our Privacy Policy. You should be aware that:

• Assessment results are probabilistic, not deterministic — they represent patterns, not absolute truths
• No assessment result should be used as the sole basis for any major life, career, or health decision
• The Service is not a medical, psychological, psychiatric, or clinical tool and should not be used as a substitute for professional advice
• Results may evolve as your profile develops over time

8. Intellectual Property

All content, software, technology, designs, trademarks, trade names, and other materials made available through the Service (excluding Your Data) are owned by or licensed to us and are protected by applicable intellectual property laws. Nothing in these Terms transfers any intellectual property rights to you other than the limited right to use the Service in accordance with these Terms.

If you provide us with feedback, suggestions, or ideas about the Service, you grant us the right to use such feedback without restriction or compensation to you.

9. Third Party Services and Links

The Service may integrate with or contain links to third party websites, services, or tools. We do not control and are not responsible for the content, privacy practices, or availability of any third party services. Your use of third party services is governed by their own terms and policies.

10. Disclaimers and Limitation of Liability

Service provided "as is." To the maximum extent permitted by applicable law, the Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non infringement.

No guarantee of accuracy. We do not guarantee that assessment results, profiles, or pathway recommendations are accurate, complete, or suitable for any particular purpose.

Limitation of liability. To the maximum extent permitted by applicable law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or business opportunity, arising out of or in connection with your use of the Service, even if we have been advised of the possibility of such damages.

Cap on liability. Where liability cannot be excluded by law, our total aggregate liability to you shall not exceed the greater of: (a) the total amount you have paid us in the 12 months preceding the claim, or (b) £100 (one hundred pounds sterling).

Statutory rights. Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law. Users in jurisdictions that do not permit certain limitations may have additional rights.

11. Indemnification

You agree to defend, indemnify, and hold harmless Vivere AI Ltd., its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any third party rights.

12. International Users

The Service is operated from the United Kingdom. If you access the Service from outside the UK, you are responsible for compliance with all applicable local laws. We make no representation that the Service is appropriate or available in all jurisdictions.

United Kingdom and European Union users. We process your personal data in accordance with UK GDPR and EU GDPR. You have rights including the right of access, rectification, erasure, restriction, portability, and to object to processing. Full details are set out in our Privacy Policy. You may lodge a complaint with your national data protection authority.

California residents (CCPA/CPRA). We do not sell your personal information. California residents have the right to know what personal information we collect, to request deletion, to opt out of any sale (which we do not engage in), and to non discrimination for exercising these rights. Australian users. We comply with the Australian Privacy Act 1988. You may contact us to access or correct your personal information.

Canadian users. We comply with the Personal Information Protection and Electronic Documents Act (PIPEDA) and applicable provincial privacy laws.

13. Termination

By you. You may stop using the Service at any time and request account deletion by contacting us at hello@vivereai.ai. Upon deletion, we will remove your personal data in accordance with our Privacy Policy.

By us. We reserve the right to suspend or terminate your access to the Service at any time, with or without notice, for any reason including if we reasonably believe you have violated these Terms. We will endeavour to provide advance notice where reasonably practicable.

Effect of termination. Upon termination, all licences granted to you under these Terms will cease immediately. Sections that by their nature should survive termination (including intellectual property, limitation of liability, and dispute resolution) will continue to apply.

14. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email (to the address associated with your account) or by posting a prominent notice on the Service, with at least 14 days' notice before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service and may request account deletion.

15. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles.

For users in the European Union: You may also have access to alternative dispute resolution mechanisms under the laws of your country of residence. Nothing in these Terms affects your rights as a consumer under the mandatory laws of your country of residence.

For users outside the EU: Any dispute arising out of or relating to these Terms that cannot be resolved informally shall be subject to the exclusive jurisdiction of the courts of England and Wales.

16. General Provisions

Entire agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service and supersede all prior agreements.

Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable.

Waiver. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

Assignment. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations freely, including in connection with a merger, acquisition, or sale of assets.

Force majeure. We will not be liable for any failure or delay in performance resulting from causes beyond our reasonable control.
